Job Description & Responsibilities
|
|
This Assistant General Counsel (“AGC”) position reports directly
to the General Counsel and will provide exposure to many facets of a
publically traded international government contractor. The AGC also will work
closely with the CEO, CFO, and other executive management, including Group
and Subsidiary Presidents and Vice Presidents as well as the Board of
Directors in the role of Assistant Corporate Secretary. Significant experience with government contracting and international
trade experience is a must.
As Assistant General Counsel:
•Work with General Counsel on contract dispute resolution and negotiations
•Lead International trade compliance efforts, including ITAR and FCPA compliance •Assist managing contract compliance
with international host nation laws •Assist with preparation or review of
various export licenses and Technical
Assistance Agreements •Review and provide counsel on federal government
contracts, subcontracts, teaming agreements and joint venture agreements
•Support Contracts and Procurement staff in drafting model agreements
•Support M&A due diligence and integration matters •Provide counsel on
intellectual property related issues •Conduct compliance training.
As Assistant Corporate Secretary:
•Work with Corporate Secretary to accomplish all Corporate Secretary
functions, including preparation and review of agenda and meeting minutes for
Board and associated committee meetings •Assist with preparation of Board
briefings •Assume a lead role in stock-plan administration, including preparing
and filing SEC required Beneficial Ownership forms (Form 4) •Assist with
preparation of annual (10-K) and quarterly (10-Q) SEC filings •Assist in
drafting periodic Company's SEC filings (8-K) •Review Earnings releases and
other press releases •Stay current with laws and legislation that impact
federal securities matters •Support state registration / qualification
filings

Qualifications Required
|
|
• Juris Doctor from top
ranked law school and active bar membership.
• 7 years in-house counsel and/or relevant law firm experience, with at least
three years’ experience with government contracting and international trade
law, preferably as in-house counsel.
• Strong knowledge of government contracting and international trade laws is
a must.
• Prior Corporate Secretary experience is a plus, but not required.
• Superior writing skills.
• Client-focus and detail orientation, innovative and energetic.
• Highly developed leadership, management, communication skills.
• Strong organizational, interpersonal, teambuilding, and customer service
skills.
• Ability to interact effectively with all levels of personnel.
• Strong computer skills in MS Office (Excel/Word/PowerPoint).
• Strong problem-solving skills and ability to make swift, sound judgments.
• Ability to prioritize multiple tasks based on changing business needs.

SME Advisor Trainer
Positions. L-3 Communications is seeking three SME
Advisor Trainers to provide Afghanistan specific cultural, civil and combat
operations training in a classroom setting.
The classroom instruction emphasizes knowledge and proficiency in three
focus areas:
•
Afghan Social, Cultural and Political History
•
Advanced Concepts of Insurgency and Counter Insurgency (COIN) in Afghanistan,
and
•
Village Level Civil Operations with case studies
Our
approach is to find one Advisor Trainer, who possesses Subject Matter Expertise
in one of the above three areas.
Together, our three SME Advisor Trainers will be strong in each of the
three areas.
Instruction
will include Historical Context, Applied Theory and Village Level Civil
Operations and Social Skills in conjunction with Foreign Internal Development
(FID) and combat operations that are regionally specific to Afghanistan. Such training will allow the Marines to
evaluate, train, and properly prepare them for real-world contingency
operations.
Prerequisites.
Successful candidates will promptly submit:
• Resumes that clearly demonstrate their
understanding of the requirement through their past experiences and familiarity
with pertinent descriptive literature relative to their specific SME focus-area
• Even though it might not be directly related
to an Advisor Trainer’s specific SME focus-area, resumes should reveal an
applicant’s general understanding of these topics: Origins of the Afghan State,
Afghan Tribal Infrastructure, Afghan Religious and Cultural Developments,
Engagement with Key Personalities, Recognition of Local Drivers of Instability,
Developing Objectives and Measuring Effect, Understanding Population Support
and Control, How to Fight the Taliban, and Drivers of Instability in
Afghanistan
• A recommended full-training day that
identifies a schedule of specific periods of instruction that would cover their
particular SME focus-area

ability to lead the classroom instruction in their SME focus-area. Supporting documentation may include training
certifications, military/SOF backgrounds, and other relevant evidence to
